Terms of Service
Please
read these terms of SERVICE carefully BEFORE MAKING A PURCHASE
By making a purchase from Silicon Softwares you signify your agreement to be bound by these Terms of Service. If you do not agree to these terms of service, please contact us before making a purchase.
We reserve the right to change these terms of service at any time. Any such changes will take effect when posted on the website and it is your responsibility to read the terms of service on each occasion you make a transaction with us, your continued use shall signify your acceptance to be bound by the latest terms of service in place.
1. PRICE
1.1. The price for the service shall be the quoted price by Silicon Softwares and payment of the price shall be made by the buyer before provisioning of the product/service.
1.2. If the buyer makes a part payment or pays less than the quoted price by Silicon Softwares, we reserve the right to withdraw any or all complimentary features or offers at the time of delivery or at a later date at our discretion.
2. METHODS OF PAYMENT
2.1. We accept payments through PayPal, Western Union, Bank Transfer and other payment gateways, method of payment may be decided mutually by both the parties or at the discretion of Silicon Softwares.
2.2. Conversion rates in use by the mutually decided method of payment will be applicable, we are not responsible and do not dictate the currency conversions rates, it is the buyers responsibility to make sure Silicon Softwares receives the quoted price in full.
3. DELIVERY
3.1. Methods – Products such as software, usernames and passwords will be delivered via email or uploaded to your web hosting account. Delivery charges, if applicable, are quoted when placing an order and vary depending on the type of product, man hours required and your specific requirements.
3.2. Expected time of delivery – Every order is on top priority for us, once we receive an order, it usually takes 24 to 72 hours for delivery. However, owing to workload and specific modifications requested by the buyer, time shall not be of the essence for delivery.
4. Title
and Risk
4.1. The product/service shall be at
the risk of the buyer following delivery.
4.2. Notwithstanding delivery, title in the product/service shall not
pass to the buyer until the buyer has made payment of all sums owing to Silicon
Softwares.
4.3. Until such time as title in the product/service passes to the buyer, Silicon
Softwares shall have the right to withhold the
product/service.
4.4 Withstanding delivery if the order is cancelled by the buyer, title in the product/service shall not pass to the buyer even if the buyer has made a part payment or payment of all sums owing to Silicon Softwares. The buyer shall also not be eligible for refunds in the above case.
5. REFUNDS
Our products have a 100% satisfaction track record with over 200 clients from across the globe, we encourage buyers to go through the documentation and manuals carefully to fully understand the product and its features.
5.1. All payments made to Silicon Softwares are non refundable.
5.2. We do not have a refund policy unless and until provided in writing along with the purchase agreement.
5.3. All payments made to Silicon Softwares are non transferable to a third party or product.
5.4. In the event that a refund is required, a refund shall be given after a deduction of 25% or more of the total refund amount, additionally, the partial cost of processing the order and handling expenses shall also be deducted. All Licensed products are non refundable.
6. Incorrect
Orders
6.1. It is the customers responsibility to make sure that the order in place is what the customer intended to purchase. A credit note may be offered in specific circumstances, however a refund cannot be offered or given where the customer has paid and subsequently discovered that the purchase they have made is not what they were looking for.
6.2. Credit note may only be issued for a Silicon Softwares product/service and not for a third party product/service.
6.3. A credit note should be used within 90 days from the date it was issued or the transaction may be considered as settled in full and no further credit notes shall be issued for the same.
7. Order
verification prior to processing
7.1. In certain cases, Silicon Softwares may ask the buyer to submit a scanned copy of the
credit card and bank statement in order to completely verify the integrity of
the order and to avoid credit card fraud.
7.2. Silicon Softwares reserves the right to
refuse an order which looks suspicious or turns out to be fraudulent.
7.3. Orders which turn out to be fraudulent will be reported to the
relevant authorities to be investigated to the fullest extent by law.
7.4. In case of a PayPal chargeback or a similar act by the buyer, Silicon Softwares reserves the right to cancel the account and provide no update or support for the product. Silicon Softwares will also follow the matter legally with all its power.
8. SUPPORT
8.1. Silicon Softwares provides SIX months of free bug fix support for its software. All bugs reported within this period may be fixed by our experts and the buyer may be eligible for a free product update as and when available.
8.2. Expected time for support – Every support request is replied on a priority basis, once we receive your email, it usually takes less than 24 hours and up to 72 hours for our support staff to reply. However, depending on the number of support requests, support time may extend beyond 72 hours.
9. BACKUPS
9.1. We do not maintain backups of your orders post delivery, buyers are encouraged to create their own periodical backups.
9.2. Data Loss – Silicon Softwares is not responsible for any data loss caused by malfunction of hardware, software crash, natural disaster or any other unforeseen event like theft of credits by hacking.
10. Product/Service
The sale of a product/service by Silicon Softwares is final. The customer is expected to research all aspects of a product/service capabilities before making a purchase. By purchasing a product/service from Silicon Software customer agrees that he has accepted and understand the service capabilities and capacity to carry out the specific operation for which it is intended. Further, no refunds can be offered or given to customers after the purchase of product/service in a case where the customer decides that the service cannot fulfil their expectations.
11. Force majeure
Silicon Softwares shall not be liable for any default due to any circumstance beyond our reasonable control including, but not limited to, acts of god, war, civil unrest, riot, strike, lock-out, acts of civil or military authorities, fire flood, earthquake or shortage of supply or failure to deliver of our suppliers.
12. INDEMNIFICATION
12.1. The buyer agrees to indemnify and hold harmless Silicon Softwares from any claims resulting from the use of the software and/or service which damages the buyer or any other party.
12.2. Furthermore, in an event wherein a product/service fails to function or provide optimum utility and results in loss of business to the buyer, the buyer agrees to hold Silicon Softwares harmless from any claims resulting from the same which damages the buyer or any other party.
13. General conditions
13.1. If
any term or provision of these general commercial terms of service (Conditions)
is held invalid, illegal or unenforceable for any reason by any court of
competent jurisdiction such provision shall be severed and the remainder of the
provisions hereof shall continue in full force and effect as if these terms had
been agreed with the invalid illegal or unenforceable provision eliminated.
13.2. Silicon Softwares may without the consent of the buyer sublicense its rights or
obligations or any part of these terms.
13.3. Silicon Softwares may without the consent of the buyer resell any new features or work in
part or whole, to an unlimited number of parties, even if the idea was
suggested by the buyer in part or whole.
13.4. All
Silicon Softwares products are provided on an as is
basis, any modifications to the software by the buyer will render future updates
and support agreement for the software null and void.
13.5. The
headings in these terms are for ease of reference only and shall not affect the
interpretation of any of the terms.
14. Entire agreement
Each of
the parties agrees that save in respect of statements made fraudulently it
shall have no remedy in respect of any untrue statement upon which it relied in
entering this agreement and that its only remedies shall be for breach of
contract.
15. Right
to Deny Service
Silicon Softwares
reserves the right to deny sale or service to any individual, organization or
group. Silicon Softwares administration and/or owners will be the sole arbiter as to the denial
of sale or service.
